01Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Aphelion governing your use of the Aphelion Account and our products and websites (the "Services"). By creating an account or using the Services, you agree to these Terms, the Acceptable Use Policy, and the Privacy Policy. If you do not agree, do not use the Services.
02Eligibility & your account
You must be able to form a binding contract and be at least 13 years old (or the minimum age of digital consent where you live); some features require you to be 18. A single Aphelion Account gives you access across the suite.
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Tell us promptly at legal@aphelion.world if you suspect unauthorised use.
03The Services & changes
Aphelion is an evolving family of products. Several are in active development or offered as beta or preview, may change, and may contain errors. We may add, modify, suspend, or discontinue any product or feature at any time. Where reasonable, we will give notice of significant changes.
04Acceptable use
You agree to use the Services lawfully and in line with our Acceptable Use Policy, which is incorporated into these Terms. Misuse may lead to suspension or termination.
05Your content & licence
You retain ownership of the content you create, upload, or store through the Services ("Your Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content solely to operate and provide the Services to you — for example, to sync a note, deliver a message, or generate an image at your request.
This licence is narrow by design. For end-to-end encrypted products such as Pair, we process only encrypted data and cannot read Your Content. You are responsible for Your Content and confirm you have the rights necessary to provide it.
06AI-generated content
Some products generate output using artificial intelligence (for example Iris, Maven, and assistant features). As between you and Aphelion, and to the extent permitted by law, you own the output you generate, and you are responsible for how you use it.
AI output may be inaccurate, may resemble other works, and is not professional advice. Your use of AI features is also governed by the Iris Content & AI Policy (for Iris) and the Disclaimer. You must not use AI features to create prohibited content as described in the Acceptable Use Policy.
07Our intellectual property
The Services — including software, design, branding, the Aphelion name and logo, and all related content other than Your Content — are owned by Aphelion or its licensors and are protected by intellectual-property laws. We grant you a personal, non-transferable, revocable licence to use the Services as permitted by these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works except as the law allows or we expressly permit.
08Payments & subscriptions
Some products or tiers are or may become paid. Where they are, the price, billing period, and features will be shown before you buy. Paid plans may renew automatically until cancelled; you can cancel before the next renewal to avoid further charges.
Fees are processed by a third-party payment provider and, unless stated otherwise or required by law, are non-refundable for periods already started. We may change prices on a going-forward basis with notice. Taxes may apply.
09Third-party services
The Services rely on and may link to third-party services (such as our identity, hosting, storage, and AI providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
10Privacy
Our Privacy Policy explains how we handle your information and forms part of your agreement with us.
11Suspension & termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will continue.
12Disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. See our full Disclaimer. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI output will be accurate or fit for a particular purpose.
13Limitation of liability
To the fullest extent permitted by law, Aphelion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. To the extent liability cannot be excluded, our total liability for any claim relating to the Services is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or INR 5,000 (or local equivalent).
14Indemnification
You agree to indemnify and hold Aphelion harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your breach of these Terms or applicable law.
15Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to applicable mandatory law, the courts located in India will have exclusive jurisdiction over disputes, and you consent to that jurisdiction. Nothing in this section removes any mandatory consumer protection you have where you live.
16Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the date below and, where appropriate, notify you. Your continued use of the Services after the change takes effect means you accept the revised Terms.
17Miscellaneous
If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, with the policies referenced in them, are the entire agreement between you and Aphelion regarding the Services. We are not liable for delays or failures caused by events beyond our reasonable control.
